1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Wunderkint ("we," "our," or "Company"), a creative intelligence agency incorporated in India with its principal place of business in Mumbai.

By accessing, browsing, or using the services provided by Wunderkint through our website or any other means, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of our services immediately.

2. Services Description

Wunderkint provides creative, technological, and marketing services including but not limited to:

  • Branding and Identity Design (Logo design, Graphic design, Print design, etc.)
  • Content Creation (Video production, Content writing, Motion graphics, etc.)
  • Technology Solutions (Website development, Mobile app development, Software solutions, etc.)
  • Marketing Services (Digital marketing, SEO, Social media management, etc.)
  • AI Services (AI content creation, AI video generation, AI consulting, etc.)

3. Client Eligibility and Responsibilities

3.1 Eligibility

Our services are available to legally competent individuals and businesses worldwide, subject to applicable local laws and regulations. By engaging our services, you represent that you have the legal capacity to enter into binding contracts.

3.2 Client Responsibilities

  • Provide accurate and complete information required for service delivery
  • Obtain necessary permissions and copyrights for content provided to us
  • Review and approve work within agreed timelines
  • Make payments according to agreed terms
  • Collaborate appropriately with our team throughout the project

4. Intellectual Property Rights

4.1 Our Intellectual Property

All intellectual property rights in our creative output, methodology, tools, and proprietary processes remain with Wunderkint unless explicitly transferred in writing. This includes copyrights, trade secrets, and proprietary technologies.

4.2 Client Intellectual Property

Clients retain ownership of their pre-existing intellectual property provided to us. By providing content, you grant us a non-exclusive, royalty-free license to use such content for the purpose of providing our services.

4.3 Deliverables Ownership

Upon full payment, clients receive full intellectual property rights to final deliverables as specified in the project agreement. This transfer is subject to our usage rights for portfolio purposes, unless otherwise agreed.

5. Project Workflow and Delivery

5.1 Project Scope and Revisions

All projects include a defined scope of work. Major scope changes may incur additional charges. Revision policies are outlined in individual project proposals.

5.2 Timelines

We strive to meet agreed timelines, but delays in client feedback or approvals may affect delivery dates. We are not liable for delays caused by factors beyond our reasonable control.

5.3 Quality Assurance

All deliverables undergo our quality assurance process. We provide reasonable opportunity for client feedback and revisions within agreed limits.

6. Payment Terms

6.1 Pricing and Quotations

All quotations are valid for 30 days from issuance. Final pricing is determined in the project agreement unless otherwise stated.

6.2 Payment Schedule

  • Deposit: 50% upfront for new clients
  • Milestone payments: For long-term projects
  • Full payment: Required before final delivery for smaller projects

6.3 Late Payments

Late payments may result in project suspension. Interest may be charged at 1.5% per month on overdue amounts.

6.4 Currency

All pricing is in Indian Rupees (INR) unless otherwise specified. International clients may be quoted in USD or negotiated currencies.

7. Confidentiality

We maintain strict confidentiality regarding client projects and proprietary information. Our confidentiality obligations continue indefinitely unless explicitly released in writing.

Clients are similarly required to maintain confidentiality regarding our methodologies, pricing structure, and proprietary information.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Wunderkint's total liability for any claims arising from our services shall not exceed the total project fees paid by the client.

We are not liable for indirect damages, lost profits, or consequential losses. This limitation applies to all claims and causes of action.

9. Force Majeure

We are not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, or governmental restrictions.

10. Termination

10.1 Termination by Client

Clients may terminate projects with written notice. Fees for work completed up to termination date remain payable.

10.2 Termination by Wunderkint

We reserve the right to terminate services if clients fail to meet payment obligations or breach these Terms. Outstanding fees remain payable upon termination.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

11.2 Dispute Resolution

We encourage amicable resolution of disputes through negotiation. If resolution cannot be reached, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.

12. Data Protection and Privacy

Client data is handled according to our Privacy Policy. We implement reasonable security measures to protect confidential information. For EU-based clients, we adhere to GDPR requirements where applicable.

13. Third-Party Services

We may use licensed third-party tools, fonts, or software to deliver services. We warrant that we have appropriate rights to use such third-party materials for client projects.

14. Modifications to Terms

We reserve the right to modify these Terms with reasonable notice to clients. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Independent Contractor

Wunderkint acts as an independent contractor. Nothing in these Terms creates an employment, partnership, or agency relationship between the parties.
